Terms of Service

By accessing or using authe's services, website, or platform (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service.

These Terms constitute a legally binding agreement between you ("User," "you," or "your") and enable4all, trading as authe (KvK 58417486) ("authe," "Company," "we," "us," or "our"). We reserve the right to modify these Terms at any time. Continued use of the Service following any changes constitutes acceptance of the revised Terms.

authe provides an asset authentication platform that enables businesses and individuals to create, manage, and verify unique authentication identifiers ("autheIDs") for physical products. Our Service includes:

• Generation of unique autheIDs linked to blockchain records
• QR code and label generation for asset authentication
• AI-assisted verification and analysis tools
• Consumer-facing verification interfaces
• Analytics and tracking dashboards
• Balance management for service usage

Subject to your compliance with these Terms, authe grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes.

License Restrictions

• You may not sublicense, sell, resell, or transfer the Service to any third party
• You may not modify, copy, or create derivative works based on the Service
• You may not reverse engineer, disassemble, or decompile any part of the Service
• You may not use the Service to build a competing product or service
• You may not remove or alter any proprietary notices or labels on the Service
• You may not use the Service in violation of any applicable laws or regulations

This license does not grant you any ownership rights in the Service. All rights not expressly granted herein are reserved by authe.

authe reserves the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice. We may also update pricing, features, or functionality as needed.

• We may add, remove, or modify features without prior notice
• Pricing changes will be communicated at least 30 days in advance for existing users
• We may temporarily suspend the Service for maintenance or updates
• We may discontinue the Service entirely with 90 days notice to active users
• API endpoints and integrations may change; we will provide reasonable migration periods

We will make reasonable efforts to communicate significant changes via email or in-platform notifications. Continued use of the Service after modifications constitutes acceptance of the changes.

While we strive to maintain high availability and reliability of our Service, you acknowledge and agree that:

• The Service is provided on an "as is" and "as available" basis without warranties of any kind
• We do not guarantee uninterrupted, secure, or error-free operation of the Service
• System failures, maintenance, updates, or technical issues may temporarily or permanently affect access to autheIDs
• Blockchain network congestion, failures, or changes may impact autheID verification
• Third-party service disruptions may affect the availability of your data

You are solely responsible for maintaining backup records of your product data and autheID assignments. We strongly recommend keeping independent records of all autheID-to-product associations.

Before attaching autheIDs to any physical products or deploying the Service in a production environment, you MUST:

• Thoroughly test the platform using test autheIDs and non-production products
• Verify that QR codes scan correctly across multiple devices and lighting conditions
• Confirm that your workflow integrates properly with your existing systems
• Test the consumer verification experience end-to-end
• Validate label printing quality and durability for your specific use case
• Ensure your team is adequately trained on platform usage

Our Service incorporates artificial intelligence and machine learning technologies to provide authentication analysis, product verification insights, and user assistance. Regarding AI-generated content, you understand and agree that:

• AI responses are provided for informational and guidance purposes only
• AI analysis should not be considered as definitive authentication judgments
• AI outputs may contain errors, inaccuracies, or inconsistencies
• AI-generated authenticity assessments are probabilistic, not absolute
• Human judgment should supplement AI analysis for critical decisions
• AI models may change over time, affecting consistency of outputs

For high-stakes authentication needs, we recommend combining AI analysis with physical inspection, provenance documentation, and expert consultation.

authe is a trading name of enable4all (KvK 58417486, VAT NL002485042B82). When you top up your account balance, you buy prepaid service credits from enable4all. The payment is processed by Stripe, our payment processor, and paid out to us. Your balance is a record of the credits you have bought: it is not money we keep for you, a deposit, or electronic money.

• Top-ups are paid by card, iDEAL, Bancontact or SEPA Direct Debit through Stripe. authe never sees your full card or bank details.
• A top-up is credited once the payment is confirmed. Card, iDEAL and Bancontact payments are confirmed at once; a SEPA Direct Debit is credited when your bank confirms it, which can take several business days. A debit your bank does not pay adds nothing.
• Stripe emails a receipt for each top-up. A top-up carries no VAT: it is a prepayment, not a purchase.
• Each purchase paid from your balance (autheIDs, registrations, custody transfers, printed labels, the Partner plan) gets an invoice from enable4all. Prices exclude VAT; VAT is added on top where due.
• If a top-up payment is refunded, reversed or charged back, we remove the credits it bought from your balance. If some were already spent, you owe us that amount.

Your account balance holds prepaid service credits, in your account's currency (EUR or USD), for authe services: autheID generation, collectible and media registration, custody transfers, printed labels and the Partner plan. Service credits:

• Are non-refundable except in cases of service failure
• Are non-transferable between accounts
• Cannot be redeemed for cash or monetary equivalent
• Do not accrue interest
• Expire 24 months after purchase if unused

In cases of service failure (for example a blockchain transaction failure, a system error preventing autheID generation, or a print order that cannot be produced), credits are refunded to your account balance. Cash refunds are only available as required by applicable law or at authe's sole discretion.

The Partner plan is a monthly plan paid from your account balance. Its fee is shown on the plan page, excluding VAT; VAT is added on top where due. Each month gets an invoice.

• When you start the plan, the first month's fee is taken from your balance and the plan runs from that day. Each following month, on the same day (or the month's last day if it is shorter), the next month's fee is taken from your balance.
• If your balance does not cover the fee on the due date, the month is unpaid: we email you and try again every morning, taking the fee once your balance covers it. Nothing switches off meanwhile. If the month is still unpaid when it ends, the plan ends and that month's fee is no longer owed.
• You can cancel at any time on the plan page. The plan then stays on until the end of the month you paid for, no further fee is taken, and your account returns to the standard plan. If you cancel while a month is unpaid, the plan ends at once and that month's fee is no longer owed. Fees for months already paid are not refunded.
• We give at least 30 days' notice before changing the fee.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

• Loss of business or anticipated savings
• Asset authentication failures or misidentifications
• Business interruption or operational delays
• Loss of data or system restoration costs
• Reputational damage or brand impact
• Third-party claims against you
• Regulatory fines or compliance costs

Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability shall be limited to the maximum extent permitted by law.

As a user of the Service, you agree to:

• Provide accurate and complete registration information
• Maintain the security of your account credentials
• Use autheIDs only for legitimate authentication purposes
• Not use the Service for counterfeit or fraudulent activities
• Comply with all applicable laws and regulations
• Not attempt to reverse-engineer or compromise the Service
• Report any security vulnerabilities responsibly
• Respect intellectual property rights

Violation of these obligations may result in immediate termination of your account and access to the Service, forfeiture of any balance credits, and potential legal action.

Either party may terminate this agreement and your account at any time, subject to the following provisions:

Termination by You

• You may close your account at any time through your account settings or by contacting support
• Upon termination, you will lose access to the Service and your autheIDs
• Any remaining balance credits are non-refundable unless required by law
• You remain responsible for any outstanding fees or charges

Termination by authe

• We may suspend or terminate your account for violation of these Terms
• We may terminate accounts for fraudulent, illegal, or harmful activities
• We may terminate for non-payment or suspected payment fraud
• We may terminate if required by law or regulatory authorities
• We may terminate inactive accounts after 24 months of inactivity with 30 days notice

You agree to indemnify, defend, and hold harmless authe and its affiliates, officers, directors, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including attorney's fees) arising from:

• Your use or misuse of the Service
• Your violation of these Terms
• Your violation of any third-party rights
• Your products or services that incorporate autheIDs
• Any claims by consumers regarding authenticated products
• Your failure to comply with applicable laws or regulations

These Terms shall be governed by and construed in accordance with the laws of the Netherlands, without regard to its conflict of law provisions.

Any disputes arising out of or relating to these Terms or the Service shall be resolved through binding arbitration in Amsterdam, Netherlands, in accordance with the rules of the Netherlands Arbitration Institute (NAI). The arbitration shall be conducted in English.

Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property rights or confidential information.

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, or if modification is not possible, shall be severed from these Terms.

• The invalidity of any provision shall not affect the validity of remaining provisions
• Remaining provisions shall continue in full force and effect
• The invalid provision shall be replaced with a valid provision that most closely achieves the original intent

Waiver

The failure of authe to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver must be in writing and signed by an authorized representative of authe to be effective.

All intellectual property rights in the Service, including but not limited to software, algorithms, user interfaces, documentation, and content, are owned by or licensed to authe and are protected by applicable intellectual property laws.

Nothing in these Terms grants you any right, title, or interest in or to any of authe's intellectual property, except for the limited license to use the Service as expressly permitted herein.
